Article I: NAME OF ORGANIZATION
The name of the organization is Memphis Association of Independent Schools–Technology Education Consortium (MAIS-TEC).
Article II: PURPOSE
SECTION 1:
MAIS–TEC promotes the development and implementation of instructional and non–instructional technologies, the enhancement of education through the use of technology, and the sharing of resources, expertise, and experiences.
SECTION 2:
The objectives of MAIS–TEC include:
A. Supporting the integration of technology in the educational environment
B. Encouraging participation in events related to technology
C. Providing professional development to maintain awareness of issues and trends in technology and to exchange ideas
D. Serving the community as a technology resource
E. Exploring the possibility of joint ventures
Article III: MEMBERSHIP AND DUES
SECTION 1:
A. Full membership is open to Memphis Association of Independent Schools’ member schools as well as other independent and parochial schools in the Memphis and surrounding area.
B. Associate membership is open to other educational institutions and technology professionals, at the discretion of the officers.
SECTION 2:
Annual dues shall be set by the organization at the first business meeting of the school year. To remain in good standing, Full and Associate member schools’ dues should be paid in full by December of the current year.
SECTION 3:
Full member schools in good standing are allowed voting privileges while Associate member schools have a non-voting status. Each member school is allowed one vote, provided their dues are paid and the school has been represented for at least half of the meetings.
Article IV: OFFICERS AND THEIR DUTIES
SECTION 1:
The officers of MAIS-TEC shall include a President, President-Elect, Secretary, Treasurer,and Immediate Past-President. All officers shall have been active Full members in MAIS-TEC for a minimum of two years. Officers shall be elected at the last business meeting of the school year, for the following school year.
SECTION 2:
The President-Elect shall succeed the President in the event that the term of office cannot be completed. He or she shall complete the term of office of the former President and shall then serve the full year to which he or she was elected. The President shall appoint other officers if vacancies occur.
SECTION 3:
Officers’ duties include:
President—presides at meetings, sets meeting agendas, appoints committees, fills officer vacancies, authorizes any special meetings, and serves as an ex officio member of all committees
President-Elect – works with the President to coordinate program topics for meetings, presides at meetings in the absence of the President, and assumes other duties as assigned by the President
Secretary – keeps minutes and distributes the minutes from each meeting, takes attendance, reports on the member schools’voting status prior to the election, and maintains the membership database; is the second signature authority on the MAIS-TEC bank account
Treasurer – collects dues and maintains organizational funds, gives a monthly financial report, sends a reminder to member schools who have not paid their dues by October 31st ; serves as a member of the Communications committee
Immediate Past-President – serves as advisor to the President and serves as chair of the Nominating committee
Article V: MEETINGS
SECTION 1:
Regular business meetings will normally be the first Friday of the month during the school year, with at least four (4) meetings per year. Locations of the meetings will rotate among member schools.
SECTION 2:
The secretary will keep minutes of all open meetings. Minutes will be maintained in a manner that makes them always available to members.
SECTION 3:
A quorum shall be a majority of voting member schools in good standing.
Article VI: COMMITTEES
Committee membership shall be appointed by the President, unless outlined by these Bylaws, and may also consist of volunteers from the membership. Two (2) types of committees may exist: Standing (outlined in the sections below) or Ad hoc (temporary, and dissolve upon the completion of the task). Committee reports will occur as necessary throughout the year.
SECTION 1:
Nominating committee - chaired by the Immediate Past-President, this committee shall contain at least two (2) other members. All members of the committee will meet to recommend a slate of officers. Their recommendations will be presented to the general membership at least one month prior to the election.
SECTION 2:
Communications committee – chaired by a member appointed by the President, this committee shall also contain the Treasurer, and at least one (1) other member. This committee will maintain the MAIS-TECwebsite, the organization’s mailing listserv, and all social media accounts.
Article VII: PARLIAMENTARY AUTHORITY
Parliamentary authority will be instituted only in cases of voting or changing the bylaws.
Article VIII: AMENDMENT OF BYLAWS
A quorum vote of Full member institutions in good standing will be required to amend the Bylaws. Written notice of a proposed Bylaws change is required a month in advance of voting. The organization shall review these Bylaws every two (2) years and amend the document with the date of the review.
